1. Agreement
By installing or using ClearProfit ("the App"), you agree to these Terms of Service. The App is provided by Untapped B.V., a company registered in the Netherlands ("we", "us", "our").
2. Description of service
ClearProfit is a Shopify application that calculates real-time profit on every incoming order, automatically holds fulfillment for orders below a configurable margin threshold, integrates with ad platforms to include advertising costs in profit calculations, and sends automated email alerts and weekly P&L summaries to configured recipients.
3. Eligibility
You must have an active Shopify store and agree to Shopify's Terms of Service to use ClearProfit. You must be at least 18 years old and authorized to enter into agreements on behalf of your business.
4. Free trial and subscription
ClearProfit offers a 14-day free trial with no credit card required. After the trial period:
- A subscription of $29 USD per month is required to continue using the app
- Billing is processed by Shopify through their native billing system
- You may cancel your subscription at any time through your Shopify admin
- No refunds are provided for partial billing periods
5. Fulfillment holds
ClearProfit may place automatic holds on fulfillment orders based on your configured margin threshold. You acknowledge that:
- Fulfillment holds may delay order processing and shipping
- You are responsible for reviewing and releasing or cancelling held orders in a timely manner
- ClearProfit is not liable for any customer complaints, refund requests, or business losses arising from fulfillment delays caused by holds
- You are responsible for configuring hold thresholds appropriately for your business
6. Ad platform integrations
By connecting Meta Ads, Google Ads, or TikTok Ads, you authorize ClearProfit to access aggregated spend data from your ad accounts. You represent that you have the right to grant this access. You may disconnect any integration at any time from Settings.
7. Acceptable use
You agree to use ClearProfit only for lawful purposes. You must not:
- Attempt to reverse engineer, copy, or redistribute the App
- Use the App in any way that could damage, disable, or impair our services
- Attempt to gain unauthorized access to our systems
- Use the App to process orders for illegal goods or services
8. Data accuracy
ClearProfit calculates profit based on the data you provide (COGS, fee settings, shipping costs) and data pulled from Shopify and connected ad platforms. Profit calculations are estimates and may not reflect your actual accounting profit. You are responsible for verifying the accuracy of your settings and should not rely solely on ClearProfit for financial decisions.
9. Service availability
We aim to maintain high availability but do not guarantee uninterrupted service. Webhook processing may be delayed during maintenance windows or infrastructure issues. Shopify retries failed webhooks for 48 hours, and ClearProfit implements catch-up processing to minimize missed orders.
10. Limitation of liability
To the maximum extent permitted by applicable law, Untapped B.V. shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of or inability to use the App, including but not limited to lost profits, lost revenue, or business interruption. Our total liability for any claim shall not exceed the amount you paid us in the three months preceding the claim.
11. Disclaimer of warranties
ClearProfit is provided "as is" without warranties of any kind, express or implied. We do not warrant that the App will be error-free, uninterrupted, or that profit calculations will be 100% accurate.
12. Termination
You may terminate your use of ClearProfit at any time by uninstalling the App from your Shopify store. We may suspend or terminate your access if you violate these Terms. Upon termination, your data will be deleted in accordance with our Privacy Policy.
13. Changes to terms
We may update these Terms from time to time. We will notify you of significant changes through the App. Continued use of ClearProfit after changes constitutes acceptance of the updated Terms.
14. Governing law
These Terms are governed by the laws of the Netherlands. Any disputes shall be resolved in the courts of Amsterdam, Netherlands.
